Terms & Conditions

1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of the IlluminatAI website and application (the "Service"), provided by Illuminatai, LLC ("IlluminatAI", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Beta Program; Invite-Only Access

IlluminatAI is currently offered as an invite-only beta. Features may be incomplete or change without notice, and the Service may be unavailable, inaccurate, or experience interruptions. If you discover the website and wish to join the waitlist without prior onboarding, please email dan@illuminatai.ai before joining to confirm suitability for participation. We may approve or deny beta access at our sole discretion.

3. Accounts and Eligibility

You must be at least 18 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to provide accurate information and keep it updated.

4. Credits, Payments, and Refunds

Certain features may require credits purchased via Stripe. Prices and packages are described in the Service and may change. Payments are processed by Stripe; we do not store card details. Unless required by law, purchases are non-refundable once used. Fraud, chargebacks, or abuse may result in suspension or termination.

5. Permitted Use; Prohibited Conduct

You may use the Service solely for lawful business purposes. You will not: (a) reverse engineer, decompile, or attempt to access source code; (b) circumvent security, rate limits, or access controls; (c) use the Service to violate law or third-party rights; (d) upload malicious code; (e) use content to train models without our consent; (f) resell, sublicense, or provide the Service to third parties without permission.

6. Your Content

You retain ownership of content you submit (e.g., prompts, chat messages, uploaded documents). You grant us a non-exclusive, worldwide, royalty-free license to host, process, and display your content solely to provide and secure the Service and to comply with law. We do not use your content to train our models. We may use third-party processors (e.g., OpenAI for AI outputs) to process your content at your direction.

7. AI Outputs

AI-generated content may be inaccurate or incomplete and is provided for informational purposes only. You are solely responsible for evaluating and using AI outputs. The Service does not constitute legal, financial, or professional advice.

8. Privacy

Our Privacy Policy explains how we collect and use personal information. By using the Service, you consent to our data practices described there.

9. Security; Beta Disclosures

We implement reasonable technical and organizational safeguards (e.g., HTTP-only cookies, encryption in transit, CSP/HSTS, CSRF protection, rate limiting, audit logging, and database access controls). However, no system is perfectly secure and the beta nature of the Service may entail heightened risk of defects, outages, or vulnerabilities. Accordingly, you acknowledge and agree that: (a) the Service is provided on a testing basis; (b) you should not upload highly sensitive or regulated data; and (c) we cannot guarantee that security incidents or data loss will never occur. If we discover or reasonably suspect a security incident involving your data, we will make commercially reasonable efforts to notify you consistent with applicable law.

10. Third-Party Services

The Service integrates with third-party providers, including Supabase (auth, DB, storage), OpenAI (AI processing), Stripe (payments), Resend (email), Upstash (rate limiting), hCaptcha (bot protection), and Tavily (optional web search). Your use of these services is subject to their terms and policies, and we are not responsible for their acts or omissions.

11. Confidentiality

Between you and us, each party may disclose non-public information. Each party will use the other party’s confidential information only to perform under these Terms and will protect it using reasonable measures. This section does not restrict disclosures required by law.

12. Intellectual Property

We and our licensors retain all rights, title, and interest in and to the Service, including software, designs, and content (excluding your content). These Terms do not transfer any IP rights to you except the limited rights expressly granted.

13. Suspension and Termination

We may suspend or terminate access immediately for violations of these Terms, security risks, or legal reasons. You may stop using the Service at any time. Upon termination, your right to access the Service ceases, but sections that by their nature should survive will survive (e.g., IP, disclaimers, liability limits, governing law).

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DURING BETA, FEATURES MAY BE MODIFIED OR DISCONTINUED WITHOUT NOTICE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ILLUMINATAI, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

16. Indemnification

You will indemnify and hold harmless Illuminatai, LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Service, or your violation of these Terms.

17. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware. You and we waive the right to a jury trial to the extent permitted by law.

18. Changes to These Terms

We may update these Terms to reflect changes to the Service or legal requirements. Material changes will be posted on this page with an updated date. Your continued use of the Service after changes constitutes acceptance.
